1. Introduction

Welcome to the THU Platform ("Platform"), available through the website [https://www.trojan-unicorn.com/] operated by THU, S. A., a company registered in Portugal, with the corporate number 516116681, headquarters at Rua Elísio de Melo, 41, 2º Andar 4000-196 Porto, and with its principal place of business at Rua da Emenda 19, Lisbon. These Terms and Conditions ("Terms") govern your use of the Platform, which connects mentors and mentees for live video mentorship sessions.

These Terms contain very important information regarding Your rights and obligations, as well as conditions, limitations and exclusions that might apply to You. Please read these Terms carefully before using our Platform. 

By using or accessing the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional terms and conditions provided to you. If you do not agree with these Terms, you must not use the following service provided by our Platform.

We may also amend these Terms from time to time, so please make sure You have seen the latest version. Where these Terms (or any part of them) have been translated into languages other than English, the English language version takes priority.

 

2. Definitions

  • "Mentor": An individual or organization offering mentorship services through the Platform.
  • "Mentee": An individual user seeking and purchasing mentorship sessions.
  • "User": Any individual or entity using the Platform, including Mentors and Mentees.
  • "Session": A live video mentorship interaction between a Mentor and a Mentee.

 

3. Eligibility 

Users must be at least 18 years old to use the Platform's services. By registering, you confirm that you meet this requirement.

 

4. Account Registration and Timezone Settings

You must create an account to access THU Platform services. You agree to provide accurate, current, and complete information and to keep this information up to date. THU Platform shall not be liable for incorrect registration or incorrect registration details. The registration and provision of all details for this purpose is the sole responsibility of the User.

Important note: set the timezone to your current location before creating your available slots.

 

5. Services Provided

The Platform acts solely as an intermediary between Mentors and Mentees, providing the digital infrastructure for announcing, scheduling, communication, and payments. The Platform does not guarantee any specific outcomes or satisfaction from mentorship sessions. All sessions are conducted live via video conferencing.

Sessions are conducted live via the Platform’s video call tool, with integrated chat. Sessions are not recorded or archived.

 

6. Terms for Mentors 

Mentors must maintain an accurate, up-to-date profile. THU reserves the right to approve or reject profiles based on internal quality standards.

6.1 Availability:

  • The Platform won’t create slots on behalf of Mentors. Mentors must actively manage their availability through the Platform. Failure to publish available slots may result in a loss of sales.
  • Mentors are required to create and update their availability using the 'Manage Availability' feature provided within the Platform, inside a specific thematic space.

6.2. Number of Sessions and Availability

  • If no slots are available, Mentees may view the mentorship details but cannot make a purchase. It is the Mentor’s responsibility to create and maintain a schedule that ensures available slots.
  • It is strongly recommended that Mentors provide more availability slots than the number of sessions offered, to allow for greater flexibility and convenience for Mentees when booking.

6.3 Cancellations and No-Shows:

If a Mentor cancels or fails to attend a scheduled session without prior mutual agreement with the Mentee or THU, the Mentee will be entitled to a full refund. In such cases, the Mentor shall bear all payment processing fees.

Individual Sessions

  • Cancellation by the Mentor
    If the mentor cancels an individual session and no rescheduling is agreed with the Mentee, the amount paid by the Mentee will be fully refunded and no payment will be made to the Mentor. The Mentor shall also bear all payment processing fees.
  • Cancellation by the Mentee
    If the Mentee cancels a previously scheduled individual session, even if the session does not take place, the Mentor retains the right to receive the amount corresponding to that session, and no refund will be issued.

Multiple-Session Mentorships

  • Termination by the Mentor
    If the mentor cancels or discontinues a multiple-session mentorship, even if some sessions have already taken place, the full amount paid by the Mentee must be refunded. In such cases, the Mentor will not be entitled to receive any amount related to that mentorship, regardless of the sessions already delivered.
  • Termination by the Mentee
    If the Mentee terminates or discontinues a multiple-session mentorship, even if some sessions have already taken place, no refund will be provided. The amount paid corresponds to the full mentorship package purchased, and the Mentor retains the right to receive the corresponding amounts, in accordance with the Platform’s regular payment terms.

Platform-Initiated Cancellations
The THU Platform reserves the right to cancel mentorships or sessions in cases of violation of this Terms, fraud, abuse, or misuse.
In such cases, refunds to the Mentee and payments to the Mentor will be determined by the THU Platform based on its assessment of the situation.

Fees and Costs
Any transaction fees or other applicable costs are non-refundable, except in situations expressly determined by the THU Platform.

If the Mentor fails to correctly set their time zone prior to booking a session, and this results in a scheduling error or missed appointment, the Mentee will be entitled to a full refund. In such cases, the Mentor shall bear all payment processing fees.

6.4 Professional Conduct:

  • Forwarding mentees to services outside the THU Platform without authorization is prohibited.
  • Mentors must treat all personal information shared by Mentees in accordance with the General Data Protection Regulation (GDPR). This includes not collecting, storing, or using Mentees' data beyond the scope of the mentorship session, and ensuring it is kept confidential and secure. Personal data must not be used for marketing, commercial purposes, or shared with third parties under any circumstances unless legally required or with the Mentee’s explicit consent. 

 

7. Price Definition and Changes

The Mentor is solely responsible for determining the price of each mentorship. The Mentor may change the price of mentorships at any time; however, changes do not affect mentorships already purchased by mentees.

Multiple-Session Mentorships

If a mentorship includes multiple sessions, the price set by the Mentor applies to the mentorship as a whole and is not calculated per individual session. The total price must cover all sessions included in the mentorship package.

Currency

All mentorship prices are listed in Euros (EUR), and all transactions on the Platform are processed exclusively in this currency.

Inclusion of Fees and Costs

The price set by the Mentor does not include any transaction fees, VAT, or other applicable costs, automatically applied by the THU Platform.

 

8. Payments and Fees

8.1 Payment Processing 

All payments made through the THU Platform are securely processed by our third-party payment service provider, Stripe, Inc. By making a purchase, Mentors agree to be bound by Stripe’s Terms of Service and Privacy Policy.

Stripe is fully PCI-DSS compliant and authorized to process payments in accordance with applicable financial regulations. The use of Stripe ensures secure handling of your payment details and compliance with strong customer authentication (SCA) requirements under the Revised Payment Services Directive (PSD2) within the European Union.

THU will issue payments to Mentors at the end of each month for the amounts due according to the sessions sold and completed on the Platform. Payments are typically monthly, but Mentors may opt for bi-monthly or quarterly payments to reduce transaction costs.

Important Notes:

  • A 4% fee is always added to the mentorship price to cover transaction processing fees; this fee is charged to the mentee and does not reduce the Mentor’s earnings. 
  • VAT applied in the mentorship purchase (when applicable) is not deducted from the Mentor’s earnings.
  • The Mentor always receives the net amount calculated on the mentorship price, minus the THU fee and the payout fee.
  • Payout fees may vary depending on several factors, including:
    • The Mentor’s country of residence;
    • The transfer method selected (e.g. Revolut, Wise, Wire Transfer, PayPal);
    • Whether currency conversion is required, and the applicable exchange rates;
    • Any intermediary bank or cross-border fees that may apply.
      These fees are deducted from the payout amount.

Amount received by the Mentor

  • Base for calculation: Mentorship price (€100)
  • Deducted:
     
    1. THU fee (e.g., 12.5%)
    2. Payout fee (e.g., €1.33; actual fee may vary as noted above)

Example of payment to Mentor:

  • Mentorship price: €100
  • THU fee 12.5%: €12.5
  • Payout fee: €1.33

Amount paid to Mentor: €100 − €12,5 − €1.33 = €86.17

8.2 Payment Methods and Country Availability
THU supports the following payout methods for Mentors: Revolut, Wise, and PayPal. The availability of each payment method depends on the country of residence of the Mentor and the coverage provided by each service:

  • Revolut: Supported countries are listed here.
  • Wise: Supported countries and regions are listed here.
  • PayPal: Supported countries are listed here.

Mentors are responsible for ensuring that their country of residence is eligible to receive payments through at least one of the supported methods. If a Mentor’s country is not supported by Revolut, Wise, or PayPal, THU will not be able to process payments, and the Mentor must provide an alternative account in a supported jurisdiction.

THU is not liable for any restrictions, limitations, or additional fees imposed by the selected payment provider, including issues arising from local regulations, account verification requirements, or cross-border transfer restrictions. Mentors are solely responsible for maintaining valid and active accounts with the chosen provider to receive payouts.

8.3 Monthly Sales Report: 

THU provides mentors with a monthly breakdown of:

  • Total sessions sold and completed;
  • Gross amounts received;
  • Fees and net payout amounts.

8.3 Invoicing and Payments:

  • Mentors must fill out and sign the RFI-21 form and provide THU with a tax residency certificate issued by the fiscal authorities of their country of residence for the current fiscal year and keep them updated, following the regulatory policies to avoid double taxation.
  • Payments are made only for completed sessions.
  • Mentors must invoice THU by the end of the month
  • In alternative of the previous, Mentors can decide to skip the invoice for the following month(s), accumulating the amounts due for transfer.
  • THU will pay only upon receipt of valid invoices and upon regulatory requirements being met.
  • Mentors must invoice THU by the end of each month. Alternatively, Mentors may opt to skip invoicing for one or more months, accumulating the amounts due for a single transfer.
  • Payments are typically made monthly, but Mentors may opt for bi-monthly or quarterly payments to reduce transaction costs.

8.4 Code of Conduct 

All users must:

  • Act respectfully and professionally.
  • Do not harass, abuse, or harm others.
  • Do not use the Platform for unlawful or unauthorized purposes. 

Violation may result in account suspension or termination. THU Platform reserves the right to suspend, restrict or terminate access to the Platform at any time without notice at THU discretion if THU have reasonable grounds to believe You have breached any of the terms of these Terms.

 

9. Intellectual Property

9.1 Platform Content

Mentors retain full ownership of any content they upload to the Platform and it is protected under copyright and intellectual property laws. Mentors grant THU a limited, non-exclusive license to use, reproduce, and display such content solely for the purpose of operating and promoting the Platform.

Your use of THU Platform and its contents grants no rights to You in relation to THU intellectual property rights, including, without limitation, trademarks or right to any designs, logos, graphics, photographs, animations, videos and text, or the intellectual property of third parties in relation to content appearing on THU Platform.

You may not copy, reproduce, republish, download, reproduce, republish, download, post, broadcast, record, transmit, commercially exploit, edit, communicate to the public or distribute in any way the content or materials on the THU Platform other than for Your own personal use.

Any use other than that permitted above may only be undertaken with THU's prior express authorisation.

By submitting information, text, photos, graphics or other content to Us via the Platform, You grant us the right to use such materials at Our own discretion, including, without limitation, to edit, copy, reproduce, disclose, post and remove such materials from THU Platform.

9.2 Mentorship Content

All intellectual property shared or generated during mentorship sessions, including verbal advice, frameworks, methodologies, and session materials, remains the exclusive property of the Mentor. The Mentee is granted a limited, personal, non-transferable license to use the mentorship insights for personal or internal business use only. Redistribution, recording, or public use is strictly prohibited without prior written consent from the Mentor.

9.3 Infringement and Prohibited Uses

Users are prohibited from copying, sharing, recording, or distributing any content obtained through the Platform without the express permission of the content owner. THU reserves the right to take legal action in cases of copyright or IP infringement.

9.4 Data Protection and Privacy 

All data is processed in accordance with the GDPR. Confidentiality must be maintained by both parties for all session content. 

Mentors have the right to access, correct, or delete their personal data, and may exercise these rights by contacting the Platform via the designated email address.

10. Limitation of Liability 

THU is not liable for:

  • Scheduling conflicts;
  • Technical difficulties on the mentee's or mentor’s side;
  • Quality of session content;
  • Expected outcomes from mentorship sessions.

We act only as a facilitator and may intervene in clear violations of the Terms. THU Platform reserves the right to suspend, restrict or terminate Your access to the Platform at any time without notice at THU discretion if THU has reasonable grounds to believe You have breached any of the terms of these Terms.

THU do not accept liability for damage to Your computer system or loss of data that results from Your use of the Platform. THU do not guarantee or warrant that any material available for downloading from THU Platform will be free from infection, viruses and/ or other code that has contaminating or destructive properties. You are responsible for implementing sufficient procedures and virus checks (including anti-virus and other security checks) to satisfy Your particular requirements for the accuracy of data input and output. You are responsible for ensuring that Your computer system meets all relevant technical specifications necessary to use THU Platform and is compatible with THU Platform.

If technical difficulties arise that are attributable to THU, THU will facilitate the rescheduling of the affected session.

 

11. Security

You are solely responsible in all respects for all use of and for protecting the confidentiality of any username and password that may be given to You or selected by You for use on THU Platform. You may not share these with or transfer them to any third parties. You must notify THU Platform immediately of any unauthorised use of them or any other breach of security regarding the Platform that comes to Your attention. 

We have the right to suspend Your account or to disable any User at any time if We believe You have failed to comply with these Terms or for security and maintenance reasons.

 

12. Dispute Resolution

In the event of any dispute between You and THU concerning these Terms, and services and any non-contractual obligations arising out of or in connection with it, the initial dispute should be resolved amicably. Failing that, legal jurisdiction is the courts of Lisboa, governed by the laws of Portugal, will be apply.

 

13. Changes to Terms 

To the fullest extent permitted under applicable law, THU may alter these Terms from time to time and post the new version on THU Platform, following which all use of THU Platform will be governed by that version. You will be deemed to have accepted any such changes by Your use of THU Platform from such time. You must check the terms and conditions on THU Platform regularly.
